Introductory note

THIS AGREEMENT is made on [date] BETWEEN: [Name of prime party] [ACN or ABN, if applicable] of [address] (Prime Party); and [Name of second party] [ACN or ABN, if applicable] of [address] (Second Party) BACKGROUND [Name of Party 1] (Prime Party) is in the business of providing [specify services or products]. [Name of Party 2] (Second Party) is in the business of providing [specify services or products]. The Customer wishes to receive [insert description of services or products]. The Prime Party and the Second Party wish to cooperate together to submit a proposal to the Customer to provide the services/products to the Customer as a team. It is anticipated that, if the Proposal is successful, the Prime Party will enter into a prime contract with the Customer, and the Second Party will enter into a subcontracting arrangement with the Prime Party.
