Introductory note

THIS AGREEMENT is made on [date]. BETWEEN: [Name of supplier] [ACN or ABN, if applicable] of [address] (Supplier); and [Name of customer] [ACN or ABN, if applicable] of [address] (Customer) BACKGROUND The Customer wishes to acquire a system and has issued a Request for Tender. The Supplier has submitted a Tender in response to the Customer's Request for Tender. There is a discrepancy (Gap) between the Customer's business requirements as set out in the Request for Tender and the functionality offered by the Supplier in the Tender. The parties wish to identify and analyse the Gap. The Supplier will provide gap analysis services under the terms of this agreement.
