Introductory note

THIS AGREEMENT is made on [date]. BETWEEN: [Name of escrow agent] [ACN or ABN, if applicable] of [address] (Escrow Agent); [Name of supplier] [ACN or ABN, if applicable] of [address] (Supplier); and [Name of customer] [ACN or ABN, if applicable] of [address] (Customer) BACKGROUND The Customer has licensed software from the Licensor under a licence agreement between the Customer and the Licensor dated [insert]. The Supplier and the Customer wish for the software source code and related materials to be held in escrow. The Escrow Agent will hold the software source code and related materials in escrow under the terms of this agreement.
