Introductory note

THIS DEED made on [date]. BETWEEN: The persons whose names and addresses are specified in Schedule A (Guarantors). AND: [name] of [address] (Customer). RECITALS The Customer intends to enter into a software licence and maintenance agreement (Agreement) with [name] (Supplier). A true copy of the Agreement is annexed to this agreement marked "Software Licence and Maintenance Agreement". The Guarantors have requested the Customer to enter into the Agreement with the Supplier. The Customer is willing to enter into the Agreement with the Supplier only if the Guarantors guarantee the faithful and continued performance by the Supplier of the Agreement.
