This document is a letter agreement for confidentiality. This document establishes an agreement that provides protection for an organisation where it needs to disclose confidential information to a service provider.
The agreement provides a definition of confidential information, stating that may be the type of information disclosed by a (potential) client to a service provider. It also contains a detailed definition of what constitutes information. Information covers the type of business information which a client might own, and might need to disclose to a service provider who is quoting on, or specifying, the services that will or might be provided.
The agreement provides ongoing protection of a client’s confidential information, even after the agreement is terminated (for whatever reason). The agreement also provides an indemnity, so that a client is able to seek damages from the service provider if that service provider breaches the obligations of confidentiality.
