Introductory note

THIS AGREEMENT is made on [date]. BETWEEN: [Name of supplier] [ACN or ABN, if applicable] of [address] (ASP); and [Name of customer] [ACN or ABN, if applicable] of [address] (Customer) BACKGROUND The ASP is the owner of a software system to which the customer seeks access. The ASP agrees to provide the customer with real-time access to the software using a prescribed protocol. The ASP agrees to maintain the software and to satisfy stipulated uptime requirements, and the customer agrees to pay for the service on a per-use basis.
