This is a non-competition agreement for use in a franchising transaction.

Franchisors often want to protect their brand and restrain franchisees from operating in a similar business once the franchise agreement is terminated or surrendered.

Many franchisors have non-compete clauses contained in their franchise agreements. However, this document could serve in addition to the obligations contained in the franchise agreement, as long as they are not inconsistent.

You may also wish to use the precedent "Manager’s employment agreement" which contains non-compete clauses for the manager of the national franchise.
