This document is a termination of shareholder’s agreement.
There may be many reasons for terminating a shareholder agreement including the winding up of a company, the sale of shares in a company to a purchaser as part of a sale of business transaction, etc.
This precedent simply provides for the termination of a shareholder agreement where all shareholders and the company agree to terminate the agreement according to the provisions of that agreement.
The drafter should consider whether it is necessary to add further rights and obligations pertaining to the shareholders and the company on termination of the agreement.
