This is a non-solicitation optional clause. This clause is designed for inclusion in the employment contract for employees who have access to confidential information or direct access with the employee’s customers or clients, or those of its related bodies corporate. This clause is designed to restrict the employee from soliciting the employer’s clients, customers and employees.

For an employment agreement, see the separate precedent collection, including the “Basic employment agreement (short form)” and “Basic employment agreement (long form)”. Clauses should be adapted to ensure consistence of terminology, particularly in relation to defined terms.

This precedent has been authored for LexisNexis and is authorised by Brooke Pendlebury, Principal, Pendlebury Workplace Law, Sydney.
